These terms are an agreement between you and Captivated Ltd ("we", "us", "our"), a company registered in England and Wales (company number 15936109, registered office Electric Works, C/O Captivated Ltd, 3 Concourse Way, Sheffield, S1 2BJ, United Kingdom), covering your use of the Upcells desktop application and this website. By downloading, installing, or using Upcells, you agree to these terms. If you are agreeing on behalf of a company, you confirm you are authorised to do so.
1. Your licence
When you buy a licence, we grant you a personal, non-exclusive, non-transferable right to install and use Upcells in line with the tier and plan you purchased (Core, Accelerator, or Pro). Key points:
- Per seat. A licence is for one named person. It is not a floating or shared licence.
- Device-locked. A licence activates on one machine at a time. You can move it to another machine by deactivating the old one from your account; there is no limit on how often you switch.
- Offline grace. Upcells keeps working offline for 7 days before it asks to reconnect and revalidate the licence.
- Subscription or perpetual. Subscriptions (monthly or annual) grant use for as long as the subscription is active. A perpetual licence is a one-time purchase to use the version line you bought, with updates included as described at the time of sale.
2. One person, your own organisation's orgs
A seat is for one named individual working with their own organisation's Salesforce orgs. You may connect your organisation's Production, Sandbox, and Developer orgs. A single seat is not a licence to operate Upcells as a service for third parties, for example an agency or managed-service provider working across many clients' orgs. If that is what you need, contact us at [email protected] about an Agency or Partner arrangement.
3. How Upcells connects to Salesforce
Upcells connects to Salesforce using OAuth and the official Salesforce API. It can only do what your own Salesforce permissions already allow, and it acts on your instructions. You are responsible for your use of Salesforce, for the changes you choose to apply, and for complying with your own agreements with Salesforce. Your relationship with Salesforce is separate from your relationship with us.
4. The local AI features
On the Accelerator tier and above, Upcells includes AI features that run on a model on your own device. These features make proposals, for example suggested field values from data enrichment, or answers drawn from local snapshots of your data. You review and choose whether to apply anything; nothing is written to Salesforce until you approve it. AI output can be wrong or incomplete, and we give no warranty as to its accuracy. You are responsible for reviewing proposals before you apply them and for the changes you make.
5. Acceptable use
You agree not to:
- resell, rent, sublicense, or share your licence beyond the seats you have bought;
- reverse engineer, decompile, or disassemble Upcells, except to the extent this restriction is prohibited by applicable law;
- circumvent, disable, or tamper with licensing, activation, or update mechanisms;
- use Upcells to break the law, infringe others' rights, or breach your agreement with Salesforce.
6. Purchases, billing, and trials
Payments are handled by our merchant of record, Polar, which processes cards, invoicing, and any applicable sales tax or VAT. Licence validation is handled by Keygen. By purchasing you also agree to Polar's terms for the payment itself.
- Free trial. Every plan includes a 30-day free trial so you can evaluate Upcells fully before you pay.
- Renewals. Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time from your account; cancellation takes effect at the end of the current period.
- Price changes. We may change prices for future billing periods; we will give reasonable notice, and changes never affect a period you have already paid for.
- Taxes. Prices are exclusive of any taxes that Polar is required to collect, which are shown at checkout.
7. Refunds and cancellations
Because we offer a 30-day free trial that lets you evaluate everything before paying, we do not offer refunds. You can cancel a subscription at any time and will not be charged for the next period. Nothing here affects any refund rights you may have that cannot be excluded under the law that applies to you. See the pricing page for details of plans and trials.
8. Intellectual property
Upcells, including its software, design, and brand, is owned by Captivated Ltd and protected by intellectual-property laws. These terms grant you a licence to use Upcells, not any ownership of it. Your data stays yours: Upcells is local-first and we run no backend that holds your Salesforce data, so we claim no rights over it.
9. Salesforce trademark
Salesforce is a registered trademark of Salesforce, Inc. Upcells is an independent product and is not affiliated with, endorsed by, or sponsored by Salesforce, Inc. We refer to Salesforce only to describe compatibility.
10. Disclaimer of warranties
Upcells is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties not expressly stated here, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Upcells will be uninterrupted or error-free, or that it will meet every requirement. Some jurisdictions do not allow certain disclaimers, and nothing here removes rights you have that cannot be excluded by law.
11. Limitation of liability
Nothing in these terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud. Subject to that, and to the fullest extent permitted by law:
- we are not liable for indirect, incidental, special, or consequential losses, or for loss of data, profits, or business; and
- our total liability arising out of or relating to Upcells is limited to the amount you paid us for it in the 12 months before the event giving rise to the claim.
You are responsible for keeping your own backups and for reviewing the diff preview before applying any change to Salesforce.
12. Termination
You may stop using Upcells at any time. We may suspend or end your licence if you materially breach these terms (for example, by breaching the acceptable-use or one-person rules) and do not fix the breach after we ask. On termination, your right to use Upcells ends; the sections that by their nature should survive (such as intellectual property, disclaimers, and limitation of liability) continue to apply.
13. Changes to these terms
We may update these terms as Upcells evolves. When we make a material change we will update the date at the top of this page, and where appropriate we will let you know. Continuing to use Upcells after a change means you accept the updated terms.
14. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction, except where the mandatory law of your country of residence gives you the right to bring proceedings elsewhere.
